UK company law requires all active companies to file annual accounts with Companies House. The Corinth/Three Tuns network shows a consistent pattern of non-compliance – from companies that never filed a single document to entities filing as “dormant” while maintaining active operations.

Corinth Management Services Ltd (12297863) – Never Filed Accounts

Incorporated November 2019. Never filed a single set of statutory accounts in over 6 years of existence. The company was wound up by court order in January 2026 (compulsory liquidation). Under the Insolvency Act 1986 (s.132, s.136), the Official Receiver is appointed as liquidator and is required to investigate the conduct of the directors.

Three Tuns Investment Holdings (14242045) – Filed as “Dormant”

Filed dormant (unaudited) accounts for the year ending July 2024, submitted June 2025. At the time of filing, TTTIH had: two active directors (Theunissen & Padley), two PSC vehicles (RJ-BAT Consulting + VMSIH), a live website (corinthinvest.com), and was the ultimate parent of a Cyprus-registered Reserved Alternative Investment Fund (RAIF). A company filing as “dormant” is required under Companies Act 2006 s.1169 to have had no significant accounting transactions during the period. The activities described above appear inconsistent with dormant status.

Systematic Non-Compliance – Relevant Authorities

The pattern documented above – 35+ companies, zero substantive accounts filed, dormant filings for active operations, compulsory liquidation – engages statutory obligations across multiple jurisdictions. Under UK law, persistent failure to file accounts is a criminal offence (Companies Act 2006, s.451), and directors of insolvent companies face mandatory investigation by the Insolvency Service (Insolvency Act 1986, s.132). Operating a regulated investment scheme without FCA authorisation is an offence under FSMA 2000, s.19 (up to 2 years' imprisonment). In Switzerland, FINMA supervises collective investment schemes and the cantonal/federal prosecutors have jurisdiction over financial offences.

The naming conventions (“JMA”, “Rhea”, sequential numbering) and the fact that none of these companies filed accounts or showed trading activity suggest they were created as a stock of available corporate vehicles rather than for individual business purposes.

Author’s analysis: Given the network’s use of initials in naming (e.g. “RJ-BAT” for Theunissen’s PSC vehicle), “JMA” may reference Justinas (Kairys), Martin (Model), and Alec (Theunissen) – though this is speculative and has not been confirmed. Alternatively, each JMA entity may have been created for a specific client or transaction. Every single JMA company has been dissolved.

Four PSC entities ceased control in under 2 years: Lothbury Financial Services (the original 75%+ PSC at formation), Three Tuns 1959, CLLC Consulting (Olivier), and Three Tuns Consulting. Only RJ-BAT Consulting (Theunissen) and VMSIH (Padley) remain.

Two Separate Officer IDs on Companies House

Alec Louw Theunissen has two separate officer records on Companies House – an anomaly that obscures his total directorship count when searching by name. His 35+ companies are split across two distinct officer profiles, meaning a standard search does not return his full corporate history.

SPV Network & Ownership Structure

The Corinth/Three Tuns network uses a layered ownership structure: Swiss AGs at the top, UK holding companies in the middle, and Special Purpose Vehicles (SPVs) at the bottom. Jurate Kairiene is sole signatory of all Swiss entities. Her son Justinas Kairys is director of the UK SPVs. The PSC ownership chain runs through corporate entities rather than individuals.

Kairiene’s Sons as Directors of UK SPVs

Justinas Kairys (b. January 1994, Lithuanian national) is listed as director of 5 UK SPVs: Venda Developments, Ilovo Paper, Kent Mikrogolf, Tswana Productions, and Copper Moon Ozcorp. The Person of Significant Control for three of these (Venda, Ilovo, Kent Mikrogolf) is his mother, Jurate Kairiene, registered as having significant influence or control.

Justinas Kairys is a son of Jurate Kairiene – who is simultaneously the sole signatory of all 6 Swiss AGs and the registered PSC of the UK SPVs her son directs. Public registry records show family members at every level of the corporate chain: Kairiene as sole signatory of the Swiss holding entities, and her son as director of the UK operating vehicles.

Lothbury Financial & the Padley Connection

Lothbury Financial Services Ltd (06942180) was the original PSC of Three Tuns Investment Holdings at formation in July 2022, holding 75%+ voting rights. Padley is sole director; since May 2023, Theunissen has also held a 25–50% PSC stake – binding both TTTIH co-directors to the same vehicle. In 2012, Lothbury was the subject of High Court proceedings: City of London Group Plc v Lothbury Financial Services Ltd [2012] EWHC 3148 (Ch), in which the claimant alleged breach of fiduciary duty, passing off, and conspiracy. The claims were dismissed at trial (Mrs Justice Proudman). Padley and Theunissen are both registered at addresses in Matfield, Kent.

Centropa Investment Holdings – Marco Model’s Vehicle

Centropa Investment Holdings Ltd (12886659) was incorporated in 2020 with Marco Ernst Model (b. July 1990, Swiss national) as the sole Person of Significant Control (75%+ ownership). The company was dissolved in November 2022 – one month after CySEC revoked Corinth Fund Management Ltd’s AIFM license on 3 October 2022 (license AIFM48/56/2013).

Swiss Dormant Company Acquisition Pattern

All 6 Swiss AGs in the Corinth network were pre-existing dormant companies that were acquired and renamed. The “founded in 1977” claim on cgoch.com refers to the original registration date of the acquired company (Photo Max Wagner AG, a photography business), not the commencement of any Corinth investment operation.

“Founded in 1977” – A Photography Business

The Corinth Group website (cgoch.com) states the group was “founded in 1977.” The Swiss Commercial Register confirms that CHE-102.223.770 was indeed registered in 1977 – as Photo Max Wagner AG, a photography business in Chur. It was later renamed to Centra Investment AG, and then to Corinth Investment Holdings AG. The Corinth investment operation did not exist in 1977. The “heritage” claim references the acquired company’s original registration date, not any Corinth business activity.

Mass Rebrand – June 2023

In June 2023, all surviving Corinth-branded UK entities were simultaneously renamed to “Three Tuns.” The timeline of this rebrand followed the CySEC AIFM license revocation (3 October 2022) and the dissolution of the Corinth Capital RAIF (13 January 2023). 7 corporate director resignations – all of the same entity, Corinth Investments Group (UK) Ltd – were also filed in a 2-day window (13–14 June 2023).
